pano.cafe is operated from the United States, State of Arizona, and provides users access to a web-based virtual tour platform and related services (the “Service”).
By accessing or using pano.cafe, you enter into a legally binding agreement with pano.cafe and agree to comply with and be bound by these Terms & Conditions (“Agreement”).
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Arizona,
without regard to its conflict of laws rules. You agree that Arizona courts shall have exclusive jurisdiction to
resolve any and all disputes related to this Agreement.
Sierra Vista Justice Court Precinct #5 | Cochise County shall be the agreed legal venue.
1.1. pano.cafe provides users access to an online platform that allows the creation, hosting, management, and presentation of virtual tours and related informational content.
1.2. The Service is provided as a hosted software platform (SaaS). pano.cafe retains full ownership and control over the platform, software, viewers, interfaces, and underlying technology.
2.1. pano.cafe may add to, modify, or enhance the Service at any time, with or without prior notice.
2.2. pano.cafe may also modify or discontinue features in order to maintain platform stability, security, or business viability.
3.1. pano.cafe may, after the first year of service, terminate this Agreement with six (6) months’ prior notice. Upon such termination, no refund shall be due.
3.2. pano.cafe may terminate this Agreement immediately and without prior notice if you breach any provision of this Agreement. In such case, you are not entitled to any refund or compensation. pano.cafe reserves the right to claim damages resulting from such breach.
3.3. Upon termination, access to the Service will be revoked and stored data may be permanently deleted.
4.1. You are solely responsible for all content you upload, transmit, or display through the Service. pano.cafe acts solely as a technical service provider and passive conduit for your data.
4.2. You warrant that you will not use the Service to:
4.3. You agree to comply with all usage restrictions imposed by pano.cafe, including limits related to storage, bandwidth, traffic, domains, embedding, and presentation.
5.1. pano.cafe grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service solely for its intended purpose: creating and sharing virtual tours as permitted by your subscription plan.
5.2. The following activities are strictly prohibited unless explicitly authorized in writing by pano.cafe:
a) Rebranding or White-Labeling
Presenting pano.cafe or any part of its platform, viewers, interfaces, or functionality as your own or as a third-party system,
including but not limited to:
b) Resale, Sub-Licensing, or Platform-as-a-Service Use
Selling, licensing, sublicensing, or monetizing access to pano.cafe as a standalone product or bundled service, including offering
it as:
c) Platform Wrapping, Masking, or Misrepresentation
Embedding, framing, proxying, or wrapping pano.cafe content in a way that:
d) Competing or Derivative Platforms
Using pano.cafe to develop, operate, or support a competing virtual tour platform or technology service.
5.3. Any reseller, white-label, enterprise, or partner arrangement requires a separate written agreement with pano.cafe and is not granted by default under standard subscriptions.
5.4. Third-Party Technology and Standalone Downloads
The pano.cafe platform utilizes third-party technologies, including but not limited to krpano, which are owned and licensed by their respective rights holders. pano.cafe does not sublicense, distribute, or grant rights to any third-party software. Any standalone or downloadable tour generated through pano.cafe that relies on third-party technology requires the user to hold a separate, valid license for such technology. By requesting or downloading a standalone tour, you represent and warrant that: You hold a valid and sufficient license for all required third-party technologies You are authorized to use such technologies in the manner enabled by the export Fees charged by pano.cafe for standalone downloads cover platform usage, processing, and build generation services only, and do not include licenses for third-party software. pano.cafe disclaims all responsibility for third-party license compliance beyond verification checks performed at the time of export.
6.1. Use of the Service is at your own risk. pano.cafe makes reasonable efforts to maintain availability and reliability but does not guarantee uninterrupted or error-free operation.
6.2. pano.cafe shall not be liable for downtime, data loss, corruption, or service interruptions, and such events do not entitle you to refunds or termination rights.
6.3. Neither party shall be liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or third-party claims.
7.1. You retain ownership of your uploaded content and data.
7.2. pano.cafe retains all rights, title, and interest in and to the platform, software, viewers, interfaces, designs, trademarks, and technology.
7.3. No rights are granted to you other than those expressly stated in this Agreement.
8.1. pano.cafe reserves the right to audit usage, presentation, embedding methods, and domain usage to ensure compliance.
8.2. Violations may result in suspension, termination, disabling of tours, and legal action without refund.
